§1 Scope & provider

These Terms and Conditions (“Terms”) govern the contractual relationship between Centric Software International Ltd. (“provider”, “we”) and the users (“user”, “you”) of the service recibo, available at recibo.software and as an app for iOS.

By using the service you accept these Terms. If the app is obtained through a distribution platform (e.g. the Apple App Store), that platform's terms apply in addition; with regard to obtaining the app you are a direct contractual partner of the platform.

Deviating, conflicting or supplementary terms of the user do not become part of the contract unless the provider expressly agrees to them in writing.

§2 What the app does

recibo is a tool for issuing receipts. The app asks for the details of a receipt one at a time, works out net, tax and gross, writes the amount in words and produces a document in A6 landscape format, output as a PDF placed on an A4 page.

The scope includes, among other things:

  • an eight-step assistant (amount, tax, payer, purpose, place, date, notes, signature),
  • stored tax rates for Germany, Austria, Switzerland, Spain and the United Kingdom, plus the option to enter a different rate,
  • a switch for the German small business rule (§ 19 UStG),
  • a history with archive, trash, month filter and totals,
  • master data for issuers, signatures, stamps, products and customers,
  • a blank form for printing.

The PDF is produced on the device. Creating a receipt involves no transmission of the receipt data to us or to third parties.

recibo is not accounting software, not a point-of-sale system within the meaning of the German Cash Register Anti-Tampering Ordinance, and not software for issuing invoices within the meaning of § 14 UStG. A receipt confirms that a payment has been received; whether an invoice is required in a given case follows from the applicable law.

§3 Use without an account, accounts & conclusion of contract

No account is required to use recibo. The entire flow from the amount to the finished PDF works without registration; the data then stays on the device only.

An account is needed solely for syncing between several devices and for the backup on our server. By submitting the registration form the user makes an offer to enter into a free usage agreement; the contract is concluded when the account is activated.

Details given in the account must be accurate. Credentials must be kept confidential. An account is not transferable.

§4 Plans, prices & payment

recibo offers three tiers:

TierPriceScope
Basic free up to five receipts per calendar day, all tax rates, signature as text, PDF and blank printing; with advertising
Premium one-off payment without advertising, sync of profile and content between the user's devices; no functional scope beyond the Basic tier (that is what Premium Plus is for)
Premium Plus monthly subscription includes Premium; on top of that every feature limit falls away: unlimited receipts, master data filled in automatically, drawn signature, stamp and logo, booking notes, several line items per receipt, product and customer catalogue, CSV export of the history, several issuers

The prices in force are shown in the app and in the App Store before purchase. All prices are final prices including statutory VAT.

The daily allowance of the Basic tier refers to completed receipts and resets at the start of each calendar day. Abandoned drafts do not count.

Purchases and subscriptions are handled through the Apple App Store. Apple's terms apply in addition; for payment purposes Apple is the contracting party. A subscription renews automatically for the chosen period unless cancelled at least 24 hours before it ends, via the settings of the App Store account.

A purchased tier is tied to the App Store account, not to the recibo account. After changing device, "Restore purchase" brings it back.

§5 Term, cancellation & right of withdrawal

The free usage agreement runs for an indefinite period and may be terminated by either side at any time without notice. The user terminates it by deleting their account in the app.

For subscriptions, the cancellation routes of the App Store apply (see section 4).

Right of withdrawal: for paid contracts, consumers have a fourteen-day right of withdrawal. For digital content it lapses once we have begun performance after the consumer has expressly consented and confirmed their knowledge of that lapse. Refunds are handled under the rules of the App Store.

§6 Obligations of the user

The user is solely responsible for the receipts they issue. This covers in particular:

  • the accuracy and completeness of every detail entered,
  • choosing the correct tax rate and the correct tax country,
  • deciding whether the small business rule under § 19 UStG applies,
  • compliance with the tax, commercial and record-keeping rules that apply to them,
  • whether an invoice rather than a receipt has to be issued in a given case.

recibo does not check any of these details for substance. The app calculates solely with the values the user enters.

Using the app to create substantively incorrect documents — in particular to feign payments that were never made — is prohibited, as is any use that breaches applicable law.

§7 No tax or legal advice

recibo does not provide tax advice or legal advice. The tax rates stored in the app, the switch for the small business rule, the mandatory note under § 19 UStG and every explanatory text are aids to data entry — not statements about what is correct in a given case.

Tax rates and statutory requirements change. We endeavour to keep the stored values current but do not owe this. Whether a rate applies in a specific case is for the user to check — where in doubt, with tax or legal advice.

§8 Receipt data, storage & sync

Receipts and master data are stored on the device (IndexedDB). Without an account they do not leave the device.

A user who is signed in and holds at least the Premium tier can use syncing: a complete image of the receipts and master data is transmitted in encrypted form and stored on our server so that it is available on another device or after a reinstall. Details are in the privacy policy.

Passing on a finished PDF — by mail, AirDrop, messenger or print — is initiated by the user; the transmission then takes place via the destination they choose.

§9 Retention & backups

recibo is not an archiving system. Complying with statutory retention periods and keeping audit-proof copies of one's own documents is the user's own responsibility.

Data held only on the device is lost if the app is deleted, the device is reset or the browser storage is cleared. We recommend keeping finished receipts outside the app as well.

§10 Advertising

Advertising is shown in the Basic tier. From the Premium tier onwards it disappears. The respective providers are responsible for the content of the advertising.

§11 Rights of use & intellectual property

All rights in the service itself, in particular software, design, logos and the recibo brand, belong to the provider or its licensors. The user is granted a simple, non-transferable and non-sublicensable right to use the service for their own private or business purposes within the scope of these Terms.

The provider acquires no rights in content entered by the user beyond what is technically necessary to operate, display, back up and deliver the service.

Reverse engineering, removing notices of rights and distributing modified versions are prohibited unless permitted by law.

§12 Availability & changes

The provider endeavours to ensure high availability of the service but cannot guarantee uninterrupted availability. Maintenance work, technical faults or events beyond the provider's control (force majeure, failures of third parties such as hosting or payment providers) may lead to temporary restrictions. No availability commitment in the form of a service level agreement exists.

The provider reserves the right to adapt or extend the range of features in the course of further development, or to discontinue individual features, provided this is reasonable considering the legitimate interests of the user. Substantial restrictions affecting the core of a paid service will, as far as possible, be announced to paying users with reasonable notice.

§13 Liability

The provider is liable without limitation for intent and gross negligence, under product liability law, for injury to life, body or health, and within the scope of guarantees given.

In the event of slightly negligent breach of a material contractual obligation (cardinal obligation) whose fulfilment makes the proper performance of the contract possible in the first place and on whose observance the user may regularly rely, liability is limited in amount to the foreseeable damage typical for this type of contract. Otherwise liability for slightly negligent breaches of duty is excluded.

The above limitations of liability also apply in favour of the provider's legal representatives and vicarious agents where claims are asserted directly against them.

For loss of data the provider is liable only to the extent that would have arisen had the user carried out proper and regular data backups.

No liability for tax or legal consequences

In particular we are not liable for tax or legal consequences arising because a document contains incorrect details, an incorrect tax rate was chosen, the small business rule was applied incorrectly, or a retention obligation was not met (see sections 6, 7 and 9).

§14 Suspension & account deletion

The user can irrevocably delete their account in the app at any time. In doing so the images of receipts and master data stored on the server are removed from the server and the account is deactivated. This action cannot be undone; a backup of important content should be created beforehand.

Deletion affects the account for recibo only. The user's accounts with other applications of the provider remain unaffected and must be deleted there separately.

The provider is entitled to suspend or terminate an account in the event of a serious or repeated breach of these Terms after prior warning with a reasonable deadline. Fees already paid for service periods not yet rendered will in that case be refunded pro rata unless the law provides otherwise.

§15 Changes to these terms

The provider reserves the right to amend these Terms with effect for the future where this is necessary for legal reasons, because of changes to the service, or to adapt to changed technical or economic conditions, and where this does not unreasonably disadvantage the user. Users will be informed of substantial changes in the application or by e-mail with reasonable notice.

If the user does not object to the amended Terms within six weeks of receiving the notice of change, or continues to use the service after that period, the amended Terms are deemed accepted. The provider will separately point out this consequence and the right to object in the notice of change.

§16 Final provisions

English law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If the user is a consumer, this applies only to the extent that it does not restrict the protection of mandatory consumer protection provisions of their habitual residence.

If the user is a merchant, a legal entity under public law or a special fund under public law, the registered office of the provider in London, England is — as far as legally permissible — the exclusive place of jurisdiction for all disputes arising out of or in connection with this contract.

Should any provision of these Terms be or become invalid, the validity of the remaining provisions remains unaffected. The statutory rule takes the place of the invalid provision.

The European Commission provides a platform for online dispute resolution at ec.europa.eu/consumers/odr. The provider is neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.
